Definitions and law
In this document, the following words and phrases have the meanings below unless the context specifies otherwise:
- The Company means Shrink Wrapping Supplies Limited.
- The Contract means the contract made between the Company and the Customer for the supply of goods, comprising these terms and any agreed special terms.
- The Customer means any firm, individual or agent to whom the Contract is addressed.
- Delivery means the occasion upon which the goods are collected from the Company or its agents’ premises.
- The Goods means the products to be supplied by the Company to the Customer, as stated on the invoice.
Price
The price quoted will be exclusive of VAT, which will be charged in addition and is payable on receipt of the Company’s invoice unless otherwise agreed. The Company reserves the right to amend the quoted price in line with additional costs incurred.
Cancellation and variation
If the Customer cancels all or part of an order in writing, the Customer will reimburse the Company for costs incurred before the notice of cancellation was received. If the Customer varies an order, associated costs will be the Customer’s responsibility and the delivery date may be adjusted.
The Company will not accept cancellation within four weeks of the estimated delivery date unless otherwise requested and confirmed in writing. The Company reserves the right to supply goods of a similar specification if the originally specified goods cannot be supplied because of circumstances beyond its control.
Delivery
The Company will endeavour to make goods available for delivery or collection by the agreed date, but such dates are not legally binding. The Company will not be liable for loss or damage resulting from late delivery. Disputes relating to delivery timing must be reported within seven days of receipt.
If the Customer refuses to accept delivery, the Company may store the goods for up to 14 days before disposal. The Customer may be liable for the associated costs.
Payment
Payment is due within 30 days of the invoice date unless otherwise agreed. Payments must be made without deductions or deferments, including taxes or disputes. Late payments will accrue interest at 4% above the National Westminster Bank PLC published rate.
In the event of non-payment, the Company reserves the right to suspend or cancel orders. The Customer will indemnify the Company for resulting losses.
Retention of title
The Company retains ownership of the goods until payment is made in full and reserves the right to repossess goods from the Customer’s premises if payment is not received. Risk of loss or damage passes to the Customer upon delivery.
Liability
The Company relies on information and samples supplied by the Customer. The Company is not liable to modify, exchange or refund goods that do not perform outside the specifications supplied by the Customer. Defects must be reported within 14 days of appearing.
The Company’s liability is limited to conditions expressly stated in the Contract, including liability for death, personal injury or property damage caused by the Company’s negligence.
Termination
If the Company believes the Customer will not meet its payment obligations, it may terminate the Contract by written notice.
Force majeure
If the Company is unable to fulfil its obligations for reasons beyond its control, it will not be in breach of the Contract but will provide written notice of the circumstances.
Machinery commissioning and operator training
Our engineering staff will handle machine commissioning and operator training. Additional training may be quoted upon request. Delays caused by the Customer may incur additional charges. The Customer is responsible for providing electrical and compressed-air services in accordance with applicable safety regulations.
